These Terms of Service (“Terms”) govern your access to and use of the Services provided by Interclearer B.V. (“Interclearer,” “we,” “us,” or “our”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, you must cease using our Services immediately.

By creating an account, using our Services, or otherwise indicating your acceptance, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any additional guidelines referenced herein.

2. Our Services

Interclearer provides payment services and is in the process of registering as a Small Payment Institution (SPI).

Payment Processing: Handling payment transactions on behalf of customers.
Account Management: Tools to manage user profiles, transactions, and security settings.

We continually improve, modify, or update our Services to meet regulatory standards or business needs.

3. Registration and Account Security

To use certain features, you must create an account and provide accurate, complete information. You agree to:

Keep your login credentials secure and confidential;
Notify us immediately of any unauthorized access or suspicious activity;
Maintain accurate and up-to-date personal details.

Failure to maintain security or provide truthful information may result in suspension or termination of your account.

4. User Responsibilities

When using our Services, you agree to abide by all applicable laws, regulations, and policies, including but not limited to:

Anti-Money Laundering (AML) and Counter-Terrorism Financing (CTF) requirements;
Tax Laws and Financial Reporting obligations;
Consumer Protection Laws and other relevant regulations.

You must not use our Services for any illegal or unauthorized activities.

5. Fees and Payments

Some aspects of our Services may incur fees, which are disclosed before initiating a transaction. By using our Services, you agree to pay all applicable fees, including potential currency conversion and processing charges. We reserve the right to change our fees with prior notice to you.

6. Data Privacy

Your use of our Services is subject to our Privacy Statement, which outlines how we collect, use, store, and share your Personal Information. By using our Services, you acknowledge and agree to the terms in our Privacy Statement.

7. Prohibited Activities

You may not:

Use our Services for any illegal, fraudulent, or unauthorized purpose;
Provide false or misleading information;
Attempt to gain unauthorized access to our systems, other users’ accounts, or any related networks or data;
Engage in activities that disrupt or interfere with the normal operations of our platform.

8. Limitation of Liability

To the fullest extent permitted by law, Interclearer and its affiliates will not be liable for:

Any indirect, incidental, special, consequential, or punitive damages;
Loss of funds, revenue, data, or business opportunities arising from the use or inability to use our Services;
Any interruption, delays, or errors in processing transactions beyond our reasonable control.

9. Termination of Service

We reserve the right to suspend or terminate your account or access to the Services if:

You breach these Terms;
We detect unauthorized or suspicious activity;
We must comply with any regulatory or legal requirement (e.g., court order).

Termination may occur with or without prior notice and may result in the forfeiture or destruction of information associated with your account.

Dispute Resolution

Any disputes arising out of or relating to these Terms, our Privacy Statement, or your use of the Services will be resolved in accordance with the laws of the jurisdiction in which Interclearer B.V. operates, without regard to its conflicts-of-law provisions. You agree to submit to the exclusive jurisdiction of the competent courts of The Netherlands, unless otherwise required by applicable mandatory law.

Changes to These Terms

We may update these Terms periodically to reflect changes in our Services, legal requirements, or business practices. Updated versions will be posted with a revised “Last Updated” date. Your continued use of the Services following the posting of updated Terms constitutes your acceptance of such changes.
